HeyMOE Affiliate Agreement

This Affiliate Agreement (“Agreement”) is entered into by and between you (“Affiliate”) and HeyMOE, LLC (“HeyMOE,” “we,” or “us”), a Wisconsin-based limited liability company. By enrolling in the HeyMOE Affiliate Program, you agree to the terms of this Agreement.

1. Eligibility and Enrollment

Affiliates may be individuals or business entities located in the United States who are legally permitted to operate as independent marketers and enter into this Agreement. By joining, you represent that you have the legal capacity to be bound by this Agreement and will comply with all applicable laws in your marketing activities.

2. Referral Tracking

Affiliates will be provided with a unique referral URL. Referrals are tracked via URL.

Attribution Rules:

  • Referrals must sign up for HeyMOE through your unique URL to be eligible for referral payments

  • Cookie duration is 30 days from the initial click on your referral link

  • Last-click attribution applies if multiple affiliate links are used

  • Self-referrals are prohibited and will result in forfeiture of referral payments

3. Referral Payment Terms

  • You will earn up to $10 per annual subscription for each referred user who purchases a HeyMOE subscription

  • This referral payment will recur annually for as long as the referred user remains an active subscriber

  • There is no cap on recurring payments, provided this Agreement remains in force and the Affiliate is in good standing

  • If a referred user downgrades to a lower-priced plan, referral payments will be adjusted accordingly in the next payment cycle

  • If HeyMOE changes subscription pricing, existing referral payments will remain at the original $10 per referred user rate unless otherwise agreed in writing

HeyMOE reserves the right to withhold referral payments from any referrals found to be fraudulent, canceled, or refunded.

4. Payment Terms

  • Referral payments are paid quarterly via Stripe

  • Minimum payout threshold: $25 per quarter

  • Referral payments below the minimum threshold will roll over to the next quarter

  • A valid W-9 is required prior to your first payment

  • A Form 1099-NEC will be issued to you if your total referral payments meet or exceed $600 in a calendar year

  • You are responsible for any applicable taxes on your earnings

  • Payment disputes must be raised by contacting affiliates@heymoe.com within 30 days of the quarterly payment date

5. Affiliate Dashboard

You will have access to an online portal displaying:

  • A list of referred clients (including name/email and subscription status)

  • Referral payment history and upcoming payments

  • Real-time tracking of clicks and conversions

You agree to use this data solely for monitoring your own referral activity. You may not export, share, or otherwise use this data for unrelated marketing purposes. Upon termination of this Agreement, your access to this data will be revoked.

6. Promotion and Content Guidelines

You may create your own promotional content to market HeyMOE, provided that:

  • You may use HeyMOE's name, but not the HeyMOE logo without written permission

  • You must not impersonate HeyMOE, or imply you are an employee or representative of the company

  • You must clearly disclose that you are a paid affiliate in accordance with FTC guidelines

  • All claims must be truthful, non-misleading, and comply with applicable regulations including CMS and FTC marketing regulations

  • You may not engage in spam, unsolicited communications, or deceptive marketing practices

  • Affiliates may not promote HeyMOE on websites or platforms that contain hate speech, misinformation, illegal content, or content that could damage HeyMOE’s reputation

HeyMOE may request edits or removal of any promotional content at its sole discretion.

7. Good Standing and Termination

Good Standing Definition: An Affiliate is considered in good standing when they:

  • Comply with all terms of this Agreement

  • Engage in ethical marketing practices

  • Maintain accurate contact information

  • Respond to reasonable requests from HeyMOE within 7 business days

Termination:

HeyMOE may terminate this Agreement at any time, with or without cause, by providing 30 days written notice. You may also terminate at any time by providing written notice.

Termination for Cause (immediate termination) includes:

  • Spam or unsolicited marketing activities

  • Misrepresentation of HeyMOE’s services

  • Fraudulent referral activity

  • Breach of confidentiality obligations

  • Violation of applicable laws or regulations

Effects of Termination:

  • If terminated for cause: All unpaid referral payments may be forfeited and referral access disabled immediately

  • If terminated while in good standing: You will continue to receive recurring referral payments for referred users who remain paying subscribers during that 12-month period

  • Upon any termination: Your access to the affiliate dashboard and referred user data will be revoked

8. Legal Protections and Governing Law

  • You are solely responsible for your marketing activities

  • You agree to indemnify and hold harmless HeyMOE from any claims, damages, or legal fees arising from your conduct, content, or breach of this Agreement

  • Nothing in this Agreement creates an employment, partnership, or agency relationship

  • This Agreement is governed by the laws of the State of Wisconsin

  • Any disputes will be resolved through binding arbitration in Wisconsin, except for claims seeking injunctive relief

9. Confidentiality and Data Security

You may not share or misuse referred user data. You will not be provided with any health, prescription, or insurance plan information.

Data Obligations:

  • All user data must be kept strictly confidential

  • Data may only be used for monitoring affiliate referral payments within the HeyMOE dashboard

  • You must implement reasonable security measures to protect any data you access

  • You must immediately notify HeyMOE of any suspected data breach

  • Upon termination, you must promptly delete any retained user data

10. Changes to Agreement

HeyMOE reserves the right to modify this Agreement with 30 days advance notice. Changes will be communicated via email to your registered email address and through the affiliate portal.

Your Options:

  • Continued participation after the notice period constitutes acceptance of updated terms

  • You may terminate this Agreement within the 30-day notice period if you disagree with the changes

  • Material changes affecting referral payment rates will require your explicit written consent

Contact Information: You must maintain current contact information in your affiliate account to receive important notices.

11. Miscellaneous

  • If any provision of this Agreement is found unenforceable, the remainder shall remain in full effect

  • This Agreement constitutes the entire agreement between the parties

  • No modifications are valid unless made in writing and signed by both parties

  • You may not assign this Agreement without HeyMOE’s written consent

By joining the HeyMOE Affiliate Program, you affirm that you have read, understood, and agreed to all of the terms outlined above.
